BountyNet Membership Terms and Conditions

1. These terms and conditions govern your membership of BountyNet, your use of the BountyNet website and your relationship with BountyNet Limited.

2. All references to “We”, “Us”, “Our”, “BountyNet”, “the company” and the like should be read as referring to BountyNet Limited.

3. BountyNet Limited is registered in England and Wales under number 6195178. Its registered office is at 5A Accommodation Road London NW11 8ED. We may be contacted by emailing: info@bountynet.biz . BountyNet operates the BountyNet website with a view to making a profit for the benefit of its shareholders.

Purpose
4. BountyNet is a networking organisation whose aim is to enable people in business to meet one another either online or in person with a view to doing business with one another. It operates the website: www.bountynet.biz (the “BountyNet website”) and from time to time organises meetings for its members. BountyNet gives no representation or warranty that any business will be gained by any member.

5. There are three types of membership as follows:

BountyNet pays commission at the rate of 30% of the first year’s membership fees in respect of Solar and Infinity Members introduced by the Satellite Member on an “as received” basis.

6. You must be 18 years of age or older to join BountyNet.

7. Membership is limited to individuals and is personal to the member. It may not be transferred or assigned to any other person.

8. Membership of BountyNet requires you to provide current, complete and accurate information and choose a username and password. You are solely responsible for maintaining the confidentiality of your password and for all activities that take place under your username. BountyNet is not responsible for any loss you may suffer as a result of someone else using your username.

9. BountyNet may suspend or terminate membership at any time with or without cause at its sole discretion. In the case of a suspension where the membership is subsequently re-instated, the member’s period of membership may at BountyNet’s discretion be extended by the length of the period of suspension. Suspension or termination in all other circumstances will not give rise to any entitlement to a refund or other compensation.

10. Membership fees are payable in monthly instalments but Solar and Infinity Members join for successive twelve month terms which automatically renew unless the Member gives at least 30 days’ prior notice of termination to BountyNet to take effect on an anniversary of the Member’s date of joining.

11. Membership of BountyNet may be terminated by BountyNet at any time and without cause by BountyNet upon notification to the other by electronic or conventional mail. Termination will not give rise to any entitlement to a refund or other compensation.

12. You agree to pay BountyNet all subscriptions due in respect of your membership and you authorise BountyNet to charge your chosen payment method for such payments and you agree to keep details of your chosen payment method up-to-date at all times. All subscriptions exclude Value Added Tax which is payable in addition if applicable. In the event of non-payment of your subscription BountyNet may suspend your membership but you will remain liable for instalments of your subscription until your subscription is terminated.

Conduct of Members

13. Members are required to show good faith and behave in a courteous and business-like manner towards one another at all times. BountyNet may not be used for any purpose or activity that is unlawful. Any member who observes another member failing to meet this standard is encouraged to report this to BountyNet.

14. Access to and use of BountyNet is through a personal username and a password. Each member must keep their username and password confidential. Unauthorised access and facilitating unauthorised access to the BountyNet website is a breach of these terms and conditions and unlawful.

15. BountyNet is not a “free to advertise database”. The sending of unsolicited mailings, emails or spam advertising products or services to members either using the BountyNet messaging system or by electronic or conventional post is prohibited. The collection of BountyNet’s members’ email addresses from the BountyNet website without the written permission of BountyNet is unlawful and prohibited.

16. You may not “meta-search” the BountyNet website or send or assist or permit the sending of any automated queries of any sort to BountyNet or its members.

17. It is a condition of your membership of BountyNet that you shall not use BountyNet for any purpose that is unlawful or prohibited by these Membership Terms and Conditions. In particular (without limiting the foregoing) you will not:
             •     use BountyNet in connection with surveys, competitions, pyramid schemes, chain letters, spam or any duplicated or unsolicited messages (commercial or otherwise);

             •     defame, abuse, harass, stalk, threaten or otherwise interfere with the legal rights of others;

             •     publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful material;

             •     send, post or otherwise make available any material that is protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consents so to do;

             •     use any material that is made available through BountyNet in any manner that infringes any intellectual property or privacy or other proprietary right of any party;

             •     create a false identity for the purpose of misleading others;

             •     access, view, intercept, or attempt to access, view or intercept e-mail or other private communications not intended for you or any part of the BountyNet website to which you are not permitted access.

18. Members warrant and represent to BountyNet and to other members that the information they enter on the BountyNet website is true and accurate in all material respects and will be updated as required from time to time. Infinity members further warrant and represent to BountyNet and to other members that they have the authority of the entity they claim to represent to enter into legally binding arrangements to pay commission on the terms set out by the Infinity member on the BountyNet site.

19. Solar and Infinity Members shall only make referrals to Infinity Members where they reasonably believe that the referral represents a genuine business opportunity for the Infinity member to whom it is made. Infinity Members shall observe the Terms and Conditions of Introduction and shall promptly pay commissions to Solar and Infinity Members in accordance with the Terms and Conditions of Introduction.

20. Infinity members acknowledge that referrals are made on the strict understanding that they are given in confidence to the Infinity member for the sole purpose of evaluating whether or not to do business and may not be used for any other purpose whatsoever. The Infinity Member and the organisation they represent shall keep such referrals confidential at all times and shall not divulge them to any third party.

21. BountyNet is a facilitator of business and business relationships. It is the responsibility of each member to reach a clear agreement in respect of each commission arrangement that he or she makes. Ultimately any dispute between members will be decided by the courts of England and Wales under English law. Any failure by an Infinity Member to pay commission should be reported to BountyNet.

BountyNet’s Responsibilities and Disclaimer

22. BountyNet will pay members commission at the rate of 30% of the first year’s membership fees in respect of Solar and Infinity Members introduced by the Satellite Member on an “as received” basis. Commission is only paid in respect of members introduced online who join having followed a click-through link from the introducing member’s website or email. Commission is paid by cheque within 30 days of the receipt by BountyNet of each instalment of membership fees save that no payment will be made in any month when the aggregate commission earned to date is less than £50.00 but instead such commission will be carried forward to future months.

23. The BountyNet website is operated on an “as available” basis and BountyNet makes no representation or warranty that the website will be available 24/7 or any lesser standard. BountyNet is not liable for any claim arising out of the non-availability of the website for any reason whatsoever.

24. BOUNTYNET’S ROLE IS TO FACILITATE BUSINESS AND BUSINESS REFERRALS. BOUNTYNET MAKES NO REPRESENTATION OR WARRANTY AS TO THE INFORMATION PROVIDED ON THE BOUNTYNET WEBSITE BY MEMBERS OR THE RELIABILITY OR FINANCIAL STATUS OF MEMBERS OR THE ENTITIES THEY CLAIM TO REPRESENT. WHEN ENTERING INTO A BUSINESS ARRANGEMENT WITH ANOTHER BOUNTYNET MEMBER OR THE ENTITY THEY CLAIM TO REPRESENT, MEMBERS ARE RESPONSIBLE FOR MAKING THEIR OWN ENQUIRIES AND CONTRACTS. BOUNTYNET ACCEPTS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE BUT IN NO OTHER EVENT SHALL BOUNTYNET BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE BOUNTYNET WEBSITE OR WITH DELAY OR INABILITY TO USE THE WEB SITE, OR FOR ANY INFORMATION, PRODUCTS OR SERVICES OBTAINED DIRECTLY OR INDIRECTLY THROUGH THE WEBSITE, OR OTHERWISE ARISING OUT OF THE USE OF THE WEBSITE, WHETHER THE CLAIM FOR SUCH DAMAGES IS BASED ON CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), STRICT LIABILITY OR OTHERWISE.

25. YOU AGREE TO INDEMNIFY AND HOLD BOUNTYNET AND ITS DIRECTORS AND EMPLOYEES HARMLESS FROM ANY CLAIM OR DEMAND, INCLUDING REASONABLE LEGAL FEES, MADE BY ANY BOUNTYNET MEMBER OR THIRD PARTY DUE TO OR ARISING OUT OF (A) CONTENT YOU SUBMIT, POST, TRANSMIT OR MAKE AVAILABLE THROUGH THE BOUNTYNET WEBSITE, (B) YOUR USE OF THE BOUNTYNET WEBSITE OR (C) ANY BREACH BY YOU OF THESE MEMBERSHIP TERMS AND CONDITIONS.

GENERAL

26. The BountyNet Terms of Use and Privacy Policy are incorporated into these Membership Terms and Conditions.

27. BountyNet reserves the right to amend or add to these Membership Terms and Conditions and its Terms of Use and Privacy Policy from time to time. Such changes may be made without notice and shall take effect from the date the new version is published on the BountyNet website.

28. If any part of these Membership Terms and Conditions are determined to be invalid or unenforceable pursuant to any applicable law then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Membership Terms and Conditions shall remain in force.

29. Your membership and these Membership Terms and Conditions are governed by the law of England and Wales. Members submit to the jurisdiction of the courts of England and Wales in respect of any dispute arising out of their membership or otherwise involving BountyNet. Use of the BountyNet website is not permitted in any jurisdiction that does not give effect to all provisions of these Membership Terms and Conditions, including without limitation this paragraph.
